Ariyel Supplemental Terms of Service
Last Modified: 11/1/2026
PLEASE READ CAREFULLY. BY ACCEPTING THESE TERMS YOU ALSO AGREE TO THE EDUCO LLC TERMS OF SERVICE. THEY INCLUDE BINDING ARBITRATION AND A CLASS ACTION WAIVER (SECTION 17), USAGE-BASED FEES (SECTION 5.4) AND LIMITS ON OUR LIABILITY (SECTION 15).
1. The Agreement
1.1 Parties. These Ariyel Supplemental Terms of Service (the "Supplemental Terms") are between Educo LLC, a Colorado limited liability company at 3930 Blake Street, Denver, CO 80205 ("Educo," "we," "us"), and the business that accepts them ("Customer," "you"). They govern Ariyel, Educo's business operating system, and the implementation, training, audit, advisory and support services we provide with it.
1.2 Educo Terms. Ariyel is a product of Educo LLC. These Supplemental Terms supplement the Educo LLC Terms of Service at educo.io/terms (the "Educo Terms"), which are incorporated by reference. By accepting these Supplemental Terms you also agree to the Educo Terms. For anything relating to Ariyel or an Ariyel Order Form, these Supplemental Terms control over any conflicting Educo Terms; the Educo Terms govern matters not addressed here.
1.3 Acceptance. You accept by signing an Order Form, completing a checkout page or invoice that references these Supplemental Terms, clicking to accept, or using Ariyel. If you accept for a company, you confirm you can bind it. Ariyel is for business use only, not personal, family or household use.
1.4 Structure and Precedence. The "Agreement" means the Educo Terms, these Supplemental Terms (including Exhibits A and B), each Order Form, and any written pricing updates under Sections 5.4 and 5.5. If they conflict, the order of precedence is: the Order Form (as updated in writing), then these Supplemental Terms, then the Educo Terms.
2. Definitions
"AI Features" means features using artificial intelligence or large language models, including Ari and AI Agents. "AI Agents" means AI Features that take actions in the Subscription Service or Connected Accounts on your behalf, after approval or autonomously under rules you configure. "AI Output" means content AI Features generate for you. "AI Credits" means the units Ariyel uses to measure AI Feature usage.
"Additional Services" has the meaning in Section 4.3.
"Chargeback" means any payment dispute, reversal or chargeback initiated by you or your bank, issuer or payment provider.
"Connected Account" means a third-party account you connect to Ariyel, such as Google, a phone number or a messaging provider.
"Customer Data" means all data you or your Users submit to, collect through or generate with Ariyel, including records, activity, courses, SOPs and other content, and data received from Connected Accounts. It excludes Usage Data and Educo Content.
"Educo Content" means templates, playbooks, courses and other materials we provide.
"Google User Data" means data obtained from a Google account through Google APIs.
"Meta Platform Data" means data obtained from Meta Platforms, Inc. through its APIs, including from a Facebook Page, Messenger, Instagram or lead ads.
"Implementation Services" and "Implementation Period" have the meanings in Section 4.1 and the Order Form.
"Included Usage" means the usage included in your fees, as stated in your Order Form or later updated under Section 5.
"Order Form" means a signed order form, or a checkout page or invoice you accept, that references these Supplemental Terms.
"Records" means contacts, companies, deals, tasks and other data objects stored in your workspace.
"Services" means the Implementation Services, Additional Services, training, calls and support. "Subscription Service" means the Ariyel application at app.ariyel.io, its APIs and AI Features.
"Usage Data" means de-identified data about how Ariyel is used and performs, including usage counts.
"User" means an individual you authorize to use Ariyel with their own login.
3. Access, Restrictions and Acceptable Use
3.1 License. During the Implementation Period and any subscription we grant you a non-exclusive, non-transferable right to use the Subscription Service and Educo Content for your internal business purposes. Ariyel is hosted by us; we issue credentials, not software.
3.2 Accounts. Each login is for one named User and may not be shared. You are responsible for your Users, for all activity in your account and for keeping credentials secure, and will notify us promptly of unauthorized access.
3.3 Restrictions. You will not: resell or provide Ariyel to third parties; copy, modify or reverse engineer it or its models or prompts; use it to build a competing product; scrape it or access it outside our published interfaces; circumvent usage measurement or security; or probe or test its vulnerabilities without our written permission.
3.4 Acceptable Use. You will not use Ariyel to store, send or generate content that is unlawful, deceptive, infringing, harassing, sexually explicit, exploitative of minors, or malicious, and you will comply with Sections 10 and 11. We may remove content, pause sending, disable features or suspend accounts that violate this Section.
3.5 Changes; Third-Party Products; Beta. We may improve and change Ariyel but will not materially reduce the core functionality you paid for during a paid period, except for AI Features, beta features, changes by third-party products or Connected Account providers, or as required by law or security. Third-party products are governed by their own terms and we are not responsible for them. Beta features are provided as-is and may change or end at any time.
4. Services
4.1 Core Services. For each Order Form, we will provide access to the Subscription Service and, during the Implementation Period (ninety (90) days from the Effective Date unless the Order Form states otherwise), Implementation Services: setting up and configuring your Ariyel workspace so you can begin using it, and onboarding your team. If your Order Form includes a subscription, it starts when the Implementation Period ends (or on the date stated in the Order Form) and continues monthly under Section 6.
4.2 How We Deliver. We deliver the Services remotely using a combination of our personnel, contractors and AI Agents. Our personnel direct the work and review deliverables before handoff, and we decide which tasks are performed by whom. You authorize our personnel, contractors and AI Agents to access your workspace and the Connected Accounts you designate as reasonably needed to provide the Services. We will not read the content of your email messages for this purpose unless you ask us to for a specific task.
4.3 Additional Services at Our Discretion. Based on the needs of your business, we may also provide services such as reports and dashboards, courses, SOP documentation, workspace audits, training or coaching calls, lead-nurture training, advisory input, and ongoing implementation support ("Additional Services"). We decide in our reasonable discretion whether to provide any Additional Service and its type, quantity, frequency and timing, and we may change, reduce or stop Additional Services at any time. Additional Services are provided as a benefit of your subscription, not as a separately priced deliverable, and no refund, credit or fee reduction is owed for any change. Any written description of Additional Services in an Order Form is non-binding unless it expressly states that it is a committed deliverable.
4.4 Founder Access and Advisory Input. Any access to Educo's founders or operators is informal advisory input (for example on productization, messaging, positioning and bottlenecks), at our reasonable availability. It is not a deliverable and is not legal, tax, accounting, financial or investment advice.
4.5 Audits. Audits, when provided, are reviews of your workspace with findings and recommendations. You decide whether to act on them and remain responsible for your own records.
4.6 Calls and Recordings. We may record and transcribe calls and meetings with you using video-conferencing, recording and AI notetaking tools we select from time to time, for quality assurance, training our team, documenting your implementation and resolving disputes. We will give notice at the start of a recorded call. You consent for yourself, will tell your attendees before they join, and may ask us not to record a call. Recordings are handled under our Privacy Policy and Section 13.
4.7 Support. Support is provided by email and through messaging or collaboration channels we designate, during Monday to Friday, 9 a.m. to 5 p.m. Mountain Time. Requests may be answered by AI Agents, our personnel, or both. Messaging channels are not live or emergency channels, and you will not post passwords or sensitive data in them. We aim to respond within one business day but do not guarantee response times.
4.8 Your Cooperation; Deliverables. You will provide the people, information and access reasonably needed. If you do not, timelines extend, and Implementation Services not used by the end of the Implementation Period are deemed delivered unless we caused the delay. On payment you may use the configurations and deliverables we create within your Ariyel account; we keep our pre-existing materials, know-how and generalized templates.
4.9 Availability. We use commercially reasonable efforts to keep Ariyel available each month, excluding announced maintenance, emergency maintenance, beta features, and outages of third-party products, Connected Accounts, carriers or AI providers.
5. Fees, Usage and Payment
5.1 Fees. You will pay the fees in your Order Form. The Implementation Fee (unless waived) is billed in advance or in the installments stated in the Order Form and is earned when the Implementation Period begins. The Subscription Fee is billed monthly in advance. Usage fees are billed as described in Section 5.4. Fees are in U.S. dollars and exclude taxes, which you will pay (other than taxes on our income). A waived or discounted fee applies only to the order and period stated.
5.2 Payment Methods and Authorization. We accept payment by card or bank account through our checkout and payment providers, by invoice, by wire transfer, by cryptocurrency, and by other methods we approve.
- Card and bank payments. You authorize us and our checkout and payment providers to charge your payment method on file for all fees when due, including each monthly Subscription Fee and any usage fees or price changes you accept under Sections 5.4 and 5.5, until your subscription ends or, if there is none, until all amounts under your Order Form are paid. You will keep your payment information current.
- Invoices and wires. Invoices are due within fifteen (15) days. You pay all bank and wire fees so that we receive the full invoiced amount.
- Cryptocurrency. Fees are stated in U.S. dollars. A cryptocurrency payment satisfies only the U.S. dollar amount actually received by us, valued at the time we receive it, on the network and in the asset we specify. You bear network and conversion fees and any loss from sending to an incorrect address or network. Cryptocurrency payments are final. Any refund owed will be made in U.S. dollars, or at our option in the same asset, based on the U.S. dollar amount originally credited.
5.3 Price Changes. We may change the Subscription Fee or Included Usage on at least thirty (30) days' notice, effective from the next monthly billing period after the notice period. You may cancel before the change takes effect.
5.4 Usage-Based Fees. Ariyel is priced in part on usage.
- Usage metrics. Usage may be measured by Records stored, AI Credits used, emails sent, and other metrics that reflect the cost of providing Ariyel, such as text messages, call minutes or connected accounts. Usage is measured by our system records.
- Notice and invoice. If your usage exceeds your Included Usage, we will notify your administrator or billing contact (by email, in-app notice or a message in a shared messaging channel) and send a separate invoice for the additional usage or a proposed updated Subscription Fee and Included Usage.
- Your choice. You may accept by paying the invoice or confirming in writing, including by email or a message in a shared messaging channel. Alternatively, within ten (10) days of our notice you may reduce your usage to your Included Usage or cancel your subscription effective at the end of the current billing period. If you do neither and continue to use Ariyel above your Included Usage after the ten-day period, you accept the invoice or updated price, and you authorize us to charge it to your payment method on file.
- Limiting usage. Until an invoice or updated price is accepted, we may limit or pause features that exceed your Included Usage, such as AI Features or sending volume.
- Records. Notices, invoices, written confirmations and payments under this Section are part of your Order Form and are sufficient evidence of your agreement to the updated fees.
5.5 Custom Pricing and Upgrades. We may agree with you to custom pricing, additional usage, added services or other changes to your Order Form. Those changes are binding when confirmed in writing, including by email, a message in a shared messaging channel, a signed or accepted quote, or your payment of an invoice that describes them, without a new Order Form.
5.6 Third-Party Cost Changes. If a carrier, email-delivery, messaging, hosting or AI provider raises our costs for a usage metric, we may adjust related usage fees on thirty (30) days' notice, and you may cancel before the change takes effect.
5.7 Late Payment; Suspension. Late amounts bear interest at 1.5% per month or the legal maximum, if lower. After ten (10) days' notice we may suspend Ariyel and the Services until paid, and you will pay our reasonable collection costs. Fees continue to accrue during suspension.
5.8 Carrier Fees. Carrier registration fees, surcharges and penalties on your calling or texting traffic are passed through at cost.
5.9 Billing Disputes. Tell us in writing at hunter@educo.io within thirty (30) days of a charge you dispute, with the amount and reason. We will work with you in good faith to resolve it within thirty (30) days. Undisputed amounts remain payable.
5.10 Chargebacks. You will use Section 5.9 before initiating any Chargeback. Initiating a Chargeback without first giving us notice and thirty (30) days to resolve the issue, or for fees owed under the Agreement, is a material breach. If you do, we may suspend your account and the Services until resolved; you will reimburse the disputed amount (if owed) and our chargeback fees and response costs; and you authorize us to submit the Agreement, Order Form, checkout and acceptance records, invoices, written confirmations, usage logs, deliverables, call recordings and communications to the card network, issuer or payment provider. Ariyel is delivered when access is provided and the Services as performed, so they cannot be returned.
5.11 Refunds. Except as stated in your Order Form or required by law, all fees are non-cancellable and non-refundable, with no refunds or credits for partial months, unused usage, changes to Additional Services, or downgrades.
6. Term, Cancellation and Termination
6.1 Term. The Agreement starts when you accept it and continues through the Implementation Period and any subscription that follows.
6.2 Subscription and Cancellation. If your Order Form includes a subscription, it is charged monthly in advance at the Subscription Fee and renews each month until cancelled. If your Order Form does not include a subscription, access to Ariyel ends when the Implementation Period ends unless you start one by signing a new Order Form, completing a checkout link, or confirming in writing (including by email or a message in a shared messaging channel), and Section 6.6 applies. You may cancel a subscription by email to hunter@educo.io or in account settings; cancellation takes effect at the end of the current monthly billing period, with no refund for that month. We may end a subscription at the end of any billing period on thirty (30) days' notice.
6.3 Implementation. The Implementation Period cannot be cancelled once it begins, and the Implementation Fee remains payable in full.
6.4 Termination for Cause. Either party may terminate on written notice if the other materially breaches and does not cure within thirty (30) days. We may terminate on ten (10) days' notice for non-payment, and immediately for breach of Sections 3.3, 3.4, 10 or 11 or a Chargeback in breach of Section 5.10. If you terminate for our uncured breach, we refund prepaid fees for the period after termination.
6.5 Suspension. We may suspend all or part of Ariyel immediately if your use poses a security risk, violates the Agreement or law, could expose us to liability, or a carrier or Connected Account provider requires it. We will limit suspension to what is needed and restore access once resolved.
6.6 Effect; Data Export. When your subscription ends (or, if your Order Form has no subscription, when the Implementation Period ends), access ends and unpaid fees become due. You may export Customer Data at any time while you have access, and for thirty (30) days after the end we will provide access or an export file on request (after payment of amounts owed). We then delete Customer Data under Section 7.10.
6.7 Survival. Sections 5 (amounts owed), 6.6, 7, 11 through 18 and any provision that by its nature should survive, survive termination.
7. Customer Data and Data Processing
7.1 Ownership. You own Customer Data. You grant us and our service providers a limited license to host, process, transmit and display it only to provide, secure and support Ariyel and the Services, prevent abuse, and as required by law.
7.2 Our Commitments. We will not (a) sell Customer Data or "share" it for cross-context behavioral advertising; (b) use Customer Data for advertising, except as described in Section 13.12; (c) use Customer Data, Google User Data or Meta Platform Data to train, fine-tune or improve AI or machine-learning models, ours or anyone else's; (d) use your contacts, leads or other Customer Data to market Educo's own products or services to them, except as described in Section 13.12; (e) combine Customer Data with personal data from other sources except as permitted by law; or (f) access Customer Data except as described in the Agreement and our Privacy Policy. Any sale of personal information described in our Privacy Policy applies only to information Educo collects for its own business, never to Customer Data, Google User Data or Meta Platform Data.
7.3 Usage Data. We may use Usage Data to operate, secure, support and improve Ariyel, measure usage and calculate fees, and publish aggregated statistics that do not identify you, your Users or your contacts.
7.4 Your Responsibilities. You are responsible for the accuracy and lawfulness of Customer Data and how you obtained it, and for giving every notice and obtaining every consent required for us to process it, including for email, texts, calls, recordings, transcription, AI processing and connecting your Users' accounts.
7.5 Roles. For personal data in Customer Data, you are the controller (or "business") and we are your processor (or "service provider"). We will process it only on your documented instructions, which are the Agreement and your configuration of Ariyel, unless law requires otherwise, and will tell you if we believe an instruction violates data protection law. We certify that we understand and will comply with the restrictions on service providers under the California Consumer Privacy Act and similar state laws, will provide the same level of privacy protection they require, and will notify you if we can no longer do so. You may take reasonable steps to stop and remediate unauthorized use. For uses under Section 13.12(b), Educo acts as an independent business.
7.6 Security. We maintain the safeguards in Exhibit A and may update them if protection is not materially reduced. Our personnel and contractors with access to Customer Data are bound by confidentiality. You are responsible for your Users' credentials, devices and Connected Accounts.
7.7 Security Incidents. We will notify you without undue delay, and within seventy-two (72) hours, after becoming aware of unauthorized access to or loss of Customer Data, and will provide information and reasonable help so you can meet any notice obligation. Unsuccessful attempts such as blocked logins, pings and port scans are not incidents.
7.8 Service Providers. You authorize us to use the categories of service providers in Exhibit B to process Customer Data. We will keep a current list at [ariyel.com/legal/subprocessors] or provide it on request, and will give at least thirty (30) days' notice of a new provider category that will process Customer Data. If you object on reasonable data protection grounds and we cannot resolve it, you may terminate the affected subscription and receive a refund of prepaid fees for the period after termination. We bind each provider to data protection terms at least as protective as these and remain responsible for them. This Section is the only approval process for our service providers.
7.9 Individual Requests. Ariyel lets you access, correct, export and delete records. If you cannot answer a privacy request with those tools, we will reasonably assist. If an individual contacts us about Customer Data, we will refer them to you.
7.10 Deletion. Within ninety (90) days after the export period in Section 6.6, we will delete Customer Data, except where law requires retention. Backups are isolated and overwritten within ninety (90) days.
7.11 Compliance Information. On request, no more than once a year unless there has been an incident, we will provide confirmation of our CASA assessment, our hosting providers' security reports where available, and answers to a reasonable security questionnaire, on a confidential basis.
7.12 Location and Transfers. Customer Data is hosted in the United States. If Educo accepts customers in the EEA, UK or Switzerland: the EU Standard Contractual Clauses (Module 2 or 3), the UK Addendum and Swiss amendments are incorporated by reference for restricted transfers, with Exhibits A and B completing their annexes.
8. Google Integration
8.1 Permissions. Connecting Google is optional. If a User connects a Google account, Ariyel requests only these permissions:
| Scope | Google classification | Use in Ariyel |
|---|---|---|
| openid, userinfo.email, userinfo.profile | Non-sensitive | Identify the connected account |
| calendar.events.readonly | Sensitive | Show event titles, times and attendees on related records |
| gmail.send | Sensitive | Send email the User writes in Ariyel from their Gmail address |
| gmail.readonly | Restricted | Read message headers to build contact records and history; display message bodies when opened |
Ariyel cannot modify, delete or label Gmail messages, change settings, or create or edit calendar events.
8.2 What Is Stored. Ariyel stores email headers (sender, recipients, subject, date, thread identifiers) for the period the User selects, calendar event details, and records built from them. Message bodies are fetched when a User opens a message and are not stored. Records created from headers are Customer Data and remain after disconnection unless you delete them.
8.3 Limited Use. Ariyel's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including its Limited Use requirements. Google User Data is used only to provide user-facing features, is never sold, is never used for advertising, and is never used to train generalized AI or machine-learning models.
8.4 Security Assessment. Because gmail.readonly is a restricted scope, Ariyel has completed an independent Tier 2 Cloud Application Security Assessment (CASA) as Google requires, and will renew it as Google requires. An assessment is not a guarantee that Ariyel is free of vulnerabilities.
8.5 Your Responsibilities; Revocation. You are responsible for having authority to connect each account and for email sent from it. Users may disconnect in Ariyel or at myaccount.google.com/permissions; we then delete stored Google User Data within thirty (30) days. Google may change or end API access at any time.
8A. Meta Integration
8A.1 Permissions. Connecting Meta is optional. If an administrator connects a Facebook Page and its linked Instagram professional account, Ariyel requests only the permissions listed in Section 8A of our Privacy Policy, to receive and send messages, retrieve lead form submissions, and show the name and profile photo of people who message you.
8A.2 What Is Stored. Ariyel stores messages, attachments, reactions, sender names and profile photos, and lead form submissions for the connected Page and account, including conversations from the seven (7) days before connection. Records created from them are Customer Data and remain after disconnection unless you delete them.
8A.3 Use. Meta Platform Data is used only to provide features to your workspace, is never sold, is never used for advertising, and is never used to train AI or machine-learning models.
8A.4 Your Responsibilities. You are responsible for having authority to connect each Page and account and for messages sent from them, including automated messages from workflows you configure, and you will comply with Meta's terms and policies that apply to you, including its messaging policies (such as the 24-hour standard messaging window) and its Lead Ads Terms.
8A.5 Revocation. You may disconnect in Ariyel or remove Ariyel from your Facebook business integrations; we then delete stored Meta Platform Data within thirty (30) days. Meta may change or end API access at any time.
9. AI Features and AI Agents
9.1 What They Do. Ari can summarize records, rate lead strength, suggest next steps and draft messages and tasks. Administrators can turn AI Features on or off and choose which records Ari may read.
9.2 AI Providers and Data Minimization. AI Features use third-party AI model providers we select from time to time. We send each provider only the record fields needed for the requested output, exclude email message bodies unless the User opens and asks Ari about that message, and use provider terms that prohibit training on our data. We do not knowingly send AI providers Prohibited Sensitive Data, and we do not use AI Features to identify individuals from images, voice or other biometric identifiers.
9.3 No Training. We do not use Customer Data, prompts or AI Output to train or improve AI models and do not permit our providers to do so.
9.4 Accuracy. AI Output can be wrong, incomplete or out of date. Review it before relying on, sending or sharing it. Lead-strength ratings reflect criteria you define and are not facts about a person.
9.5 AI Agents. You decide whether to enable AI Agents, whether they need approval, and what records, Connected Accounts and actions they may use. You will supervise them and review their activity log, and their actions are treated as yours. We may set limits, require approvals, or pause an AI Agent that appears to act outside its configuration.
9.6 Disclosure and Consequential Decisions. Where the law requires, you will tell people when they are communicating with or being contacted by an automated system. You will not use AI Features as the basis for decisions with legal or similarly significant effects on individuals (such as employment, credit, housing, insurance, education or health care) without meeting every requirement of applicable automated decision-making law.
9.7 Changes. We may change, limit or discontinue any AI Feature or provider at any time, and AI provider outages are excluded from Section 4.9.
10. Communications Compliance
10.1 Email. You are the sender of email sent through Ariyel. You will comply with the CAN-SPAM Act and other email laws, include a working unsubscribe method and your postal address in marketing email, honor opt-outs promptly, and not use purchased, scraped or harvested lists. We may limit sending to protect deliverability.
10.2 Calls and Texts. You will comply with the Telephone Consumer Protection Act, the Telemarketing Sales Rule, Do Not Call rules, state telemarketing laws and carrier rules, including A2P 10DLC registration; obtain and keep records of every required consent (including prior express written consent for marketing using automated technology); honor STOP and other opt-outs immediately; respect calling hours in the recipient's time zone; and not spoof caller ID. We may suspend calling or texting if a carrier flags your traffic.
10.3 Recording and AI Notes on Your Calls. If you use Ariyel to record, transcribe or have Ari take notes on calls or meetings, you must give clear notice at the start and obtain consent from every participant where any applicable law requires all-party consent (for example California, Florida, Illinois, Maryland, Massachusetts, Pennsylvania and Washington). Ariyel's announcement features do not by themselves make you compliant.
11. Sensitive Data
11.1 Prohibited Data. You will not submit to Ariyel, including in notes, fields, files, courses, recordings, texts, AI prompts or messaging channels: health or medical information (including protected health information under HIPAA and consumer health data under laws such as Washington's My Health My Data Act); payment card, bank or financial account numbers; Social Security, driver's license, passport or tax identification numbers; biometric or genetic data; precise geolocation; information about racial or ethnic origin, religion, sexual orientation or sex life, immigration status, union membership or criminal history; account passwords for other services; or personal data of children under 16 ("Prohibited Sensitive Data").
11.2 Regulated Industries. Med spas and other health-adjacent businesses may store client contact details, appointment history, the name of a service purchased and payment status, but not treatment notes, intake forms, medical history, photos or other health information; HIPAA covered entities and business associates may not use Ariyel for client records. Accountants and tax preparers may store client contact and engagement information but not tax returns, identification numbers or financial account records. Businesses serving minors may store only a parent or guardian's contact details.
11.3 No BAA. Ariyel is not designed for HIPAA compliance and we do not sign business associate agreements.
11.4 Consequences. If Prohibited Sensitive Data reaches Ariyel, for example in an email a contact sends, you will delete it promptly and tell us if it reached us through the Services. We have no liability for Prohibited Sensitive Data submitted in breach of this Section, and Section 15's liability cap does not limit your liability for that breach.
12. Intellectual Property
12.1 Ours. Educo and its licensors own Ariyel, Educo Content, Usage Data, AI Features, our know-how and all improvements. "Ariyel," "Ari" and "Educo" are our trademarks. No other rights are granted.
12.2 AI Output. As between us, and to the extent the law allows, you own AI Output generated from your Customer Data. Similar output may be generated for others.
12.3 Feedback. We may use your suggestions without restriction or payment, without identifying you or disclosing your Confidential Information.
13. Mutual Confidentiality and Non-Disclosure
Educo's implementation, audit and support work gives it access to your systems, leads, workflows and business information. This Section gives both parties a mutual non-disclosure agreement as part of the Agreement, so no separate NDA is needed.
13.1 Confidential Information. "Confidential Information" means non-public information one party (the "Discloser") makes available to the other (the "Recipient") in connection with the Agreement, in any form, that is marked confidential or that a reasonable person would understand to be confidential. Your Confidential Information includes Customer Data, your leads and contacts, pipeline and sales information, workflows, SOPs, courses, pricing, financial information and business plans. Our Confidential Information includes Ariyel's non-public features, code, AI prompts and configurations, implementation methods, playbooks, security information, and the pricing and terms of your Order Form.
13.2 Exclusions. Confidential Information does not include information that the Recipient can show (a) is or becomes public through no fault of the Recipient; (b) was known to the Recipient without restriction before receipt; (c) is lawfully received from a third party without a duty of confidentiality; or (d) is independently developed without use of the Discloser's Confidential Information.
13.3 Obligations. The Recipient will (a) use Confidential Information only to perform its obligations and exercise its rights under the Agreement; (b) not disclose it except to its and its affiliates' employees, contractors, service providers, AI Agents and professional advisers who need it for those purposes and are bound by confidentiality obligations at least as protective as this Section ("Representatives"); (c) protect it using at least the care it uses for its own similar information, and no less than reasonable care; and (d) be responsible for its Representatives' compliance.
13.4 Educo's Access to Your Systems. When we access your workspace or Connected Accounts, we will access only what is reasonably needed to provide the Services; follow the security measures in Exhibit A; not sell, publish or use your leads, contacts or other Customer Data for our own marketing or for any other customer, except as described in Section 13.12; and not remove copies of Customer Data from your workspace except as reasonably needed to provide the Services (for example, an import file or a recorded training call), which we will protect under this Section and delete when no longer needed.
13.5 No Additional Approvals Required. To provide the Services efficiently, we choose and may change our personnel, contractors, AI Agents, tools and service providers, and the features we enable, without your prior approval for each one, provided they are bound by this Section and, for service providers that process Customer Data, Section 7.8 is followed. You control what Ariyel can access through your configuration, User permissions and the Connected Accounts you choose to connect.
13.6 Compelled Disclosure. The Recipient may disclose Confidential Information if required by law, regulation or court order, after giving the Discloser prompt notice (where legally permitted) and reasonable help to seek protective treatment, and disclosing only what is required.
13.7 Return and Destruction. On written request after the Agreement ends, the Recipient will delete or return the Discloser's Confidential Information, except copies kept under Section 7.10, in routine backups, or as required by law or for record-keeping, which remain subject to this Section.
13.8 Freedom to Operate. Nothing in this Section restricts either party from using general skills, knowledge and experience retained in unaided memory, or restricts Educo from providing services to other customers, including your competitors, or developing products and methods, provided it does not use or disclose your Confidential Information.
13.9 Duration. These obligations apply from the date of first disclosure (including before the Effective Date) and continue for three (3) years after the Agreement ends, and for trade secrets and Customer Data for as long as they remain protected by law or in the Recipient's possession.
13.10 Remedies. Unauthorized use or disclosure may cause irreparable harm, so the Discloser may seek injunctive relief in addition to other remedies, without posting a bond where permitted.
13.11 Other NDAs. This Section satisfies any request by either party for a non-disclosure agreement relating to Ariyel or the Services. Any other confidentiality, system-access or non-disclosure agreement, addendum or policy relating to Ariyel or the Services binds Educo only if it is signed by an authorized officer of Educo and expressly states that it amends this Section 13. If it conflicts with this Section or the Agreement, this Section and the Agreement control, including Section 13.5 and the limits in Section 15.
13.12 Service Optimization. Nothing in this Section 13 restricts Educo from using Confidential Information, including Customer Data:
(a) to deliver, measure and optimize marketing and advertising services for Customer, including through audiences created on advertising and measurement platforms; and
(b) in aggregated, de-identified, hashed or other privacy-protective form, including through advertising and measurement platforms, to develop, measure and improve the marketing, advertising, audience and analytics capabilities Educo uses for Customer, for Educo and for Educo's other clients,
provided that Educo does not disclose Customer's Confidential Information to any other client in a form that identifies Customer or any individual. This Section does not apply to Google User Data, Meta Platform Data, Prohibited Sensitive Data, or information about individuals who have opted out of such uses. Customer will ensure its notices and consents permit these uses. Customer may ask Educo in writing to limit these uses for its data going forward.
13.13 Publicity. Unless you opt out by email to hunter@educo.io, we may list your name and logo as a customer. We will not publish a testimonial, case study or quote from you, or any result you achieved, without your written consent.
14. Warranties and Disclaimers
14.1 Mutual. Each party has authority to enter the Agreement and will comply with laws that apply to it.
14.2 Ours. Ariyel will perform materially as described in our documentation at docs.ariyel.com, and we will perform the core Implementation Services in a professional and workmanlike manner. If we breach this and you tell us within thirty (30) days, we will correct or re-perform, and if we cannot within a reasonable time, either party may terminate the affected Order Form and we will refund prepaid fees for the non-conforming part. That is your exclusive remedy.
14.3 Disclaimer. EXCEPT AS STATED IN THIS SECTION 14, ARIYEL, AI FEATURES, THE SERVICES (INCLUDING ADDITIONAL SERVICES), EDUCO CONTENT AND THIRD-PARTY PRODUCTS ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ARIYEL WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VULNERABILITIES, OR THAT AI OUTPUT WILL BE ACCURATE. REPORTS ARE NOT A SYSTEM OF RECORD FOR ACCOUNTING, TAX, PAYROLL OR REGULATORY PURPOSES.
14.4 No Guaranteed Results; Sales Statements. WE DO NOT GUARANTEE ANY REVENUE, DEALS, LEADS OR OTHER BUSINESS RESULT. Return-on-investment examples and projections in sales conversations, proposals or marketing (for example, that Ariyel "pays for itself" if it helps you close one more deal a month), and descriptions of Additional Services, are illustrations, not promises, and you have not relied on them. Statements by referral partners or other third parties do not bind us. Testimonials and case studies about Educo's other services describe those clients' experiences and do not predict your results with Ariyel. Only your Order Form and the Agreement define what you buy.
15. Liability and Indemnification
15.1 Exclusion. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL OR DATA, HOWEVER CAUSED.
15.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL LIABILITY UNDER THE AGREEMENT IS LIMITED TO THE FEES PAID AND PAYABLE BY YOU TO EDUCO IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
15.3 Exceptions. Sections 15.1 and 15.2 do not limit your payment obligations, either party's indemnity obligations, your liability for breach of Sections 3.3, 3.4, 10 or 11, or liability for fraud, gross negligence, willful misconduct or anything that cannot be limited by law.
15.4 Our Indemnity. We will defend you against third-party claims that Ariyel, as we provide it, infringes a U.S. patent, copyright or trademark or misappropriates a trade secret, and pay amounts finally awarded or agreed in settlement. This excludes claims arising from Customer Data, third-party products, AI Output, combinations we did not provide, or your breach. We may instead modify Ariyel, obtain a license, or end the affected subscription and refund prepaid unused fees.
15.5 Your Indemnity. You will defend Educo and its members, employees and contractors against third-party claims, including regulator, carrier and Google claims, arising from Customer Data; your or your Users' use of Ariyel, including emails, texts, calls, recordings and AI Agent actions; your breach of Sections 3, 10 or 11 or of law; or disputes with your customers or contacts, and pay resulting damages, fines, penalties and reasonable attorneys' fees.
15.6 Process. The indemnified party will give prompt notice, sole control of the defense (no settlement imposing obligations on it without consent) and reasonable cooperation at the indemnifying party's cost.
16. Referral and Sales Partners
16.1 Partners. Educo works with referral partners, independent contractors and agencies that introduce or sell Ariyel, and with its own sales staff. Partners may receive compensation from Educo, such as a percentage of fees or a flat referral payment. Partners are independent and are not Educo's agents. They cannot bind Educo or make promises about pricing, services or results, and only your Order Form and the Agreement define what you buy.
16.2 Customer Referrals. If Educo offers you a referral program, you may earn referral compensation (for example, a percentage of fees Educo collects from a business you refer, or a flat referral payment) on the terms Educo provides in writing. Unless those terms say otherwise: compensation is paid only on fees actually collected and not refunded or charged back; self-referrals and referrals of existing Educo prospects do not qualify; Educo decides eligibility in good faith and may change or end the program for future referrals at any time; you are responsible for taxes on referral compensation and will provide any tax forms Educo requests; and you will comply with law (including disclosure of your referral relationship where required) when you refer others.
16.3 Information. You agree that Educo may tell a referral partner that you became a customer and the fees relevant to calculating its compensation. Educo will not share your Customer Data with referral partners.
17. Dispute Resolution
17.1 Informal Resolution. Before arbitration, a party must send written notice of the dispute and relief sought (to corporate counsel at mike@conquestip.com and our mailing address) and both parties will try in good faith to resolve it for thirty (30) days, including by a call if either asks.
17.2 Arbitration. Unresolved disputes arising out of or relating to Ariyel, an Ariyel Order Form or the Agreement will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Denver, Colorado (or by video). The Federal Arbitration Act governs this Section.
17.3 Class Action Waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding.
17.4 Mass Arbitration. If twenty-five (25) or more similar demands are filed by or with the help of the same or coordinated counsel, they will be administered in batches of up to 25, with one batch arbitrated and decided at a time and the rest held in abeyance, and filing fees will be assessed per batch, to the extent the AAA rules permit.
17.5 Exceptions. Either party may bring individual claims in small-claims court or seek injunctive relief in court to protect intellectual property or Confidential Information or stop a breach of Section 3.3 or 3.4.
17.6 Court; Jury Waiver. Any matter in court will be heard exclusively in the state or federal courts in Denver, Colorado, and each party waives jury trial. If Section 17.3 is unenforceable as to a claim, that claim proceeds in court, not arbitration.
17.7 Priority. This Section 17 and Section 18.1 control over any dispute, governing law or venue terms of the Educo Terms for disputes relating to Ariyel.
18. General
18.1 Governing Law. Colorado law, without regard to conflict-of-laws rules.
18.2 Changes. We may update these Supplemental Terms on thirty (30) days' notice by email or in-app. Changes adverse to you apply to a current paid period only from your next monthly billing period, unless needed for legal, security or new-feature reasons. Continued use after the effective date is acceptance.
18.3 Notices. We may notify you by email to your administrator or billing contact, in-app, or through a shared messaging channel. Legal notices to us go to mike@conquestip.com with a copy by mail.
18.4 Assignment. You may not assign without our consent. We may assign to an affiliate or in a merger, acquisition or sale of Educo or the Ariyel business.
18.5 Subcontractors. We may use subcontractors and service providers, including AI providers, and remain responsible for their performance.
18.6 Force Majeure. Neither party is liable for delays (other than payment) caused by events beyond its reasonable control, including failures of hosting, AI or Connected Account providers.
18.7 Other. You will comply with U.S. export and sanctions laws. The parties are independent contractors, and there are no third-party beneficiaries. Failure to enforce is not a waiver, and unenforceable terms are enforced to the maximum extent allowed. Electronic signatures, checkout acceptance, invoices, written confirmations and electronic records are binding and admissible. The Agreement is the entire agreement on its subject and supersedes prior proposals and statements; purchase-order terms are void.
